Welcome to TellByte. These Terms of Service ("Terms") govern your access and use of our website, platforms, and services. By using TellByte.com or engaging with our services, you agree to these Terms. If you do not agree, you should not use our website or services.
1. Scope of Services
TellByte provides digital services including (but not limited to):
- Web and application development
- UI/UX design
- System integration and automation
- Accessibility and compliance solutions (ADA/WCAG, GDPR, CCPA)
- Secure hosting and infrastructure services
- Ongoing support, maintenance, and consulting
Specific scope, deliverables, and pricing will be outlined in individual proposals, statements of work, or contracts.
2. Eligibility
- You must be at least 18 years old or a legally registered business entity to engage our services.
- By entering into a contract, you represent that you are authorized to bind yourself or your organization.
3. Client Responsibilities
When engaging TellByte, you agree to:
- Provide accurate and timely project information.
- Respond promptly to requests for feedback, approvals, or access.
- Ensure that all submitted content (e.g., text, images, logos, data) is legally owned or licensed for use.
- Maintain responsibility for compliance obligations specific to your industry, unless explicitly assigned to TellByte in writing.
4. Proposals, Quotes & Contracts
- Quotes and proposals are valid for 30 days unless otherwise stated.
- Work begins only after a signed agreement and initial payment (if required).
- Any changes to scope or deliverables may result in revised pricing or timelines.
5. Payments & Invoicing
- Invoices are due upon receipt unless otherwise agreed.
- Late payments may incur a 1.5% monthly interest charge or the maximum allowed by law.
- Project deliverables remain the property of TellByte until full payment is received.
6. Intellectual Property
- Before payment: All designs, code, and deliverables are the intellectual property of TellByte.
- After full payment: Ownership rights transfer to the client, except for reusable frameworks, libraries, or tools created by TellByte that remain proprietary.
- Clients are granted a non-exclusive, royalty-free license to use deliverables for intended business purposes.
7. Confidentiality
- Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during projects.
- TellByte may reference completed projects in its portfolio unless prohibited by contract or NDA.
8. Data Security & Compliance
- TellByte follows best practices in cybersecurity and data handling.
- We carry $2M in liability and cyber insurance.
- While we implement robust protections, no system is 100% secure, and we cannot guarantee absolute data security.
9. Limitation of Liability
- TellByte is not liable for indirect, incidental, special, or consequential damages, including lost profits or data.
- Our maximum liability under these Terms is limited to the amount paid for services under the applicable contract.
10. Warranties & Disclaimers
- TellByte warrants that services will be performed professionally and in accordance with industry standards.
- We do not warrant that any service will be error-free or uninterrupted.
- All third-party software, platforms, or hosting services are subject to their own terms and warranties.
11. Termination
- Either party may terminate a project with written notice.
- Client remains responsible for all fees for work completed up to the termination date.
- Certain sections (intellectual property, confidentiality, limitation of liability) survive termination.
12. Third-Party Links & Services
Our website may include links to third-party services. TellByte is not responsible for the content, terms, or privacy practices of those third parties.
13. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.
14. Dispute Resolution
- Disputes will first be addressed through good-faith negotiation.
- If unresolved, disputes will be submitted to binding arbitration in Gwinnett County, Georgia, unless otherwise required by law for government contracts.
15. Updates to Terms
We may revise these Terms from time to time. Updated Terms will be posted on our website with a new "Effective Date." Continued use of our services indicates acceptance of updated Terms.
